Terms of Service
RingWave

Payment Agreement: Client agrees to maintain up to date payment information on their account. The client acknowledges that the agreed-upon payment conditions between two parties, the client and RingWave, shall be made automatically on the same day of each month from which the client chooses to start.
Right to Review: RingWave holds authority to review the rate & plan of the clients selection once every 30 days. Should RingWave find the client needs are greater than their selected plan, RingWave will notify the customer prior to any changes, with or without metrics to demonstrate the required change.
Access to Information: The Client is responsible for furnishing all pertinent information, and for furnishing accurate, truthful, and complete information necessary for RingWave to perform or complete the contracted services or project.
Scope of Work: The client is responsible for furnishing documentation outlining the complete scope of work, expectations, and methods for completing assigned work to the standards of the client. While RingWave does provide baseline training for general purposes to its staff, we will need to work together to understand how best to operate within your business.
Cancellation terms: The client may choose at anytime to cancel service with RingWave. Any immediate cancellation will not incur further costs, but will be eligible for refund or return. The client may choose to terminate plans immediately or at the end of billing cycle. The client will be billed accordingly.
Cancellation Notice Period:
Client may cancel services at any time by providing at least 30 days’ written notice prior to the next billing date. Cancellation becomes effective at the end of the notice period. Any signed agreement outside of these terms supersedes this notice period agreements.
No Proration:
The final month’s fee is non-refundable and not prorated, regardless of the cancellation date within that month. Full month’s service fee is due.
Early Termination for Custom Work:
Should Client terminate services before Custom Work—defined as any bespoke setup, onboarding, training, or development undertaken specifically for Client—is fully delivered, Client agrees to pay an early termination fee. This fee equals the remaining balance of outstanding custom work costs plus a one-time charge of 25% of the estimated custom work total.
Returns: No refund or rollovers will be provided during any billing cycle.
Relationship of Parties: RingWave, and it's staff, are not to be considered employees of the client. The client has no right to assign additional tasks without consultation with RingWave management to any staff member.
Intellectual Property:
(a) All materials, communications, data, and content provided by Client (“Client IP”) remain fully owned by Client.
(b) Any materials created, developed, or customized by RingWave specifically for Client, including scripts, workflows, training materials, call records, designs, or other outputs (“Created IP”) are the property of Client once payment is received in full.
(c) RingWave retains ownership of all general methodologies, systems, templates, and materials not customized specifically for the Client (“Service Provider IP”), subject only to Client’s rights to use those materials as necessary to receive the contracted Services.
Holidays: All associated services provided by RingWave may have delay of services due to light staffing on certain days of the year. There is no premium billed to the client for days worked which are recognized as Holidays at RingWave.

Currency and authorized payments: USD Currency is the only accepted currency. Authorized payments shall be made only by Credit or Debit Card, which is required to be saved on file. A valid payment type on file is required in order to maintain services. Should the payment type no longer be valid, services will stop until such time the payment is updated and valid. Should the payment type not be made updated, and the client has an outstanding balance for services rendered, that amount will be invoiced after 7 days of outstanding balance.
Late/returned payments: Late or Returned payment, due to an instance such as expired payment type, shall be charged a rate not less than $50, or 3% of the total due, whichever is greater. Payments not paid by card on file will have a Net 15 for payment to be rendered, until considered late. For each 30 days there after, the aforementioned late fee penalty will applied to the client balance. Any balance outstanding for more than 60 days will be sent to collections.
Rights: The client remains the sole owner of any information provided. All information is subject to a confidentiality agreement with and between RingWave and the client.
Contractual Update: RingWave reserves the right to update the Terms of Service at any time, with or without notice to the client. It is the client responsibility to stay informed, as each completed payment is consent to these Terms of Service. RingWave will provide notice within14 days updates.
